Eden Re I Ltd. is a Bermuda exempted company incorporated on 17 November 2014 with registration number 49720 and with registered office address at Canon’s Court, 22 Victoria Street, Hamilton HM 12, Bermuda.  The Issuer is in the process of registering as a Special Purpose Insurer with the Bermuda Monetary Authority under the Bermuda Insurance Act 1978, as amended. The Issuer is also to be registered as a segregated accounts company under the SAC Act. As used herein, references to the “Series 2015-1 Segregated Account” mean the segregated account of the Issuer which will be designated as “Eden Re I Segregated Account 2015-1” upon registration. The Issuer will enter into the transactions contemplated hereby for and on behalf of the Series 2015-1 Segregated Account.

The business of the Issuer acting in respect of the Segregated Account consists solely of activities related to the issuance of the Series 2014-1 Notes and the performance of its obligations under a reinsurance agreement
