Formerly known as XL Capital Ltd, the Company was incorporated with limited liability under the Cayman Islands Companies Act on 16 March, 1998, as EXEL Merger Company.  XL Capital Ltd was formed as a result of the merger of EXEL Limited and Mid Ocean Limited on 7 August, 1998, and the Company was named EXEL Limited on that date.

EXEL Limited and Mid Ocean Limited are companies that were incorporated in the Cayman Islands in 1986 and 1992, respectively.  At a special general meeting held on 1 February, 1999, the shareholders of the Company approved a resolution changing the name of the Company to XL Capital Ltd. 

Effective 1st July, 2010, and pursuant to a scheme of arrangement, the Company  re-domiciled from Cayman to Dublin, Ireland, changing its name to XL Group plc.

Effective 25^th July, 2016, and pursuant to a scheme of arrangement, the Company  re-domiciled from Dublin, Ireland to Hamilton, Bermuda, changing its name to XL Group Ltd.
