Sandell Holdings Ltd., (the"Issuer"), was incorporated and registered in Bermuda under the Companies Act as an exempted company limited by shares on 18 December 2014 (registered number 49850).The Issuer has its registered office at Canon’s Court, 22 Victoria Street, Hamilton HM 12, Bermuda.

The Issuer was incorporated for the main purpose of acting as the parent to SRL, an exempted limited liability company incorporated under the laws of Bermuda and licensed as a Class 3A insurer pursuant to the Insurance Act. SRL provides reinsurance for captives, insurance and reinsurance companies, managing general agencies, risk retention groups, run-off companies and other insurance-related companies requiring surplus relief, risk capacity and risk protection by assuming low volatility loss portfolio transfers and capped quota share business from multiple sources. SRL seeks stable sources of insurance business and sacrifices underwriting profits to reduce the likelihood of severity losses, while looking to investment returns for profitability. To facilitate its investment objectives and to be able to separate investments, SRL registered as a segregated accounts company pursuant to the SAC Act on 2 December 2015.
