Stratosphere Re Ltd., (the “Issuer” or the “Company”) is a Bermuda exempted company incorporated with limited liability and is registered as a special purpose insurer under the Bermuda Insurance Act 1978, as amended, and its related regulations (the “Bermuda Insurance Act”. The Issuer is not, and does not intend to become, a licensed insurance or reinsurance company in any state of the United States or in any jurisdiction other than Bermuda. The Issuer was incorporated under the laws of Bermuda on October 25, 2019, with registration number 55037 and was registered as a special purpose insurer under the Bermuda Insurance Act effective October 31, 2019.
