Hawley Group Limited Announces Acquisition and Subsequent Listing of Shares

Hawley Group Limited ("HGL” or the "Company") announces that its board of directors has recently reached an agreement in relation to the Company's acquisition of Applicant Insight Inc., a leading provider of workforce screening solutions and substance abuse testing for employers and businesses based predominantly in the USA (the "Acquisition”).

The Acquisition will be achieved by the statutory merger of Hawley Operations Inc, a Delaware corporation which is wholly owned by HGL, and CSS Group Inc, a Delaware corporation (“CSS”) which is the sole shareholder of Applicant Insight, with CSS becoming the surviving entity.

The Company will issue fully paid up shares to each shareholder of CCS in consideration for the Acquisition

The total number of shares to be issued by the Company as consideration for the Acquisition will be 30,000,000 ordinary shares, all of which will be subject to a subsequent listing on the Bermuda Stock Exchange ("Exchange"), resulting in the total number of shares of HGL in issue and listed on the Exchange following completion of the Acquisition being 34,658,624.
