Ascendant Holdings, Ltd. Plans Spin-Off Of Gold Projects
The Company will place its two most advanced gold projects into a newly formed corporation. Independent NI 43-101 reports have been completed on each project. Both projects are ready to enter more advanced stage exploration programs and future funding will be raised to complete these goals. Under the spin-off plan, the Company will be issued Common Shares in the new corporation as consideration for the two projects. The Company then intends to dividend approximately 90% of such shares to its shareholders of record as at November 25, 2005. Ascendant Holdings, Ltd. will then retain the balance of the shares.
