Two issues are put on the agenda of the AGM:
a) to consider and resolve upon the continuance of the operations of the Company as required by Article 29.2 of the Articles of Association of the Company; and
b) to consider and resolve upon the proposed transfer of the Company’s assets to a UCITS sub-fund (the “UCITS Sub-fund”) of Renaissance Asset Managers Global Funds, an open-ended investment company organised as a société anonyme under the laws of the Grand Duchy of Luxembourg and qualifying as a société d’investissement а capital variable (the “UCITS Fund”), in consideration for shares in the UCITS Sub-fund (the “UCITS Shares”) and the subsequent redemption in kind of the shares of the Company (the “Shares”) (the “Restructuring”).
