Argus Group Holdings Ltd. – Transaction in Own Shares
Hamilton, Bermuda – 07 November, 2012 – In a filing to the Bermuda Stock Exchange (“BSX”) Argus Group Holdings Limited (the “Company”; Ticker: AGH.BH) reported on a one-off transaction in its own shares conducted on 05 November, 2012. The filing stated:
“We submit this written notice to the Bermuda Stock Exchange (the “BSX”) pursuant to BSX Listing Regulations Section IIB, Chapter 6, Section 6.14(2)(i) (the “Regulations”) regarding the purchase of securities by the Company other than as part of a Securities Repurchase Programme.
On November 5, 2012 the Company purchased on the open market a total of 77,200 of the Company’s common shares (the “Shares”) from a single seller. The Shares are to be held as Treasury Stock as that term is defined by the Companies Act 1981 and as permitted by the Company’s Bye-Laws, and are not intended to be cancelled. The Shares were purchased at the seller’s asking price of $3.40 per share.
The Shares represent only 0.359% of the Company’s total shares issued and outstanding at the date of the transaction. The total number of shares now held by the Company as Treasury Stock as a result of the transaction is 499,465 shares, representing 2.322% of the Company’s total shares issued and outstanding.
The above transaction is not intended by the Company to constitute a Securities Repurchase Programme pursuant to Sections 6.38-6.43 of the Regulations.”
