Southern View Finance Ltd – Placement Update
Hamilton, Bermuda – 27 September, 2013 – In a filing with the Bermuda Stock Exchange (“BSX”), Southern View Finance Ltd. (the “Company”; Ticker: SVF.BH) released the results of the private placement of common class A shares having a par value of USD 0.0001 per share (the "class A shares"). The filing stated:
“Reference is made to the pre-listing statement dated 23 September 2013, and the abridged pre-listing statement released by the Bermuda Stock Exchange (“BSX”) and on SENS on 23 September 2013, relating to the private placement by SVF to invited investors ("Private Placement"), of approximately 305,000 Class A Shares at a subscription price of ZAR 10.3276 per share, being the ZAR equivalent of USD 1.00 per Class A Share determined at an exchange rate of USD 1.00: R 10.3276.
Shareholders are advised that the Private Placement of Class A Shares closed at 17h00 on Wednesday, 25 September 2013 and the directors of SVF are pleased to announce that the Private Placement was fully subscribed, with the Company successfully placing 305,000 Class A Shares for an aggregate subscription price of ZAR 3,149,917.80
The allocated Class A Shares will be transferred to successful applicants on a `delivery-versus-payment` basis on the date of listing, being Tuesday, 1 October 2013.
The number of Class A Shares in issue subsequent to the Private Placement and listing on the JSE’s Alternative Exchange (“AltX”) are as follows:
Class A Shares in issue prior to the Private Placement 3,050,000
Class A Shares allocated in terms of the Private Placement 305,000
Total Class A Shares in issue subsequent to the Private
Placement and listed on the BSX and AltX 3,355,000
Accordingly, 3,355,000 Class A Shares in the Company will be listed on the JSE’s AltX with abbreviated name "SVF", JSE share code SVF and ISIN code BMG829251013, with effect from commencement of trade on Tuesday, 1 October 2013.
