Southern View Finance Ltd – Notice of General Meeting

Hamilton, Bermuda – 01 November, 2013 – In a filing with the Bermuda Stock Exchange (“BSX”), Southern View Finance Ltd. (the “Company”; Ticker: SVF.BH) gave notice of a general meeting for holders of common class A shares. The filing stated:

“Shareholders are advised that the Company will be holding a general meeting of Class A Shareholders of the Company, to be held at the Company’s registered office on Friday, 15 November 2013 at Mercury House, 101 Front Street, Hamilton, HM12, Bermuda at 09:00 am, to consider and, if deemed appropriate, pass the resolutions required to:

-           effect a Specific Issue of Class A Shares for cash in South Africa to the following shareholders, subject always to the consent of the BSX, namely:

a)    Fincom Proprietary Limited (registration number 1989/004966/07), a private company duly registered and incorporated in accordance with the company laws of South Africa;

b)    Cream Magenta 140 Proprietary Limited (registration number 2004/030300/07), a private company duly registered and incorporated in accordance with the company laws of South Africa;

c)    Wikalox Investments Proprietary Limited (registration number 1981/004645/07), a private company duly registered and incorporated in accordance with the company laws of South Africa;

d)    Metcap 14 Proprietary Limited (registration number 2002/010619/07), a company duly registered and incorporated in accordance with the company laws of South Africa;

e)    K2013137280 Proprietary Limited (registration number 2013/137280/07), a private company incorporated in accordance with the company laws of South Africa; and

f)     Klee Investments Proprietary Limited (registration number 1997/018029/07), a private company duly registered and incorporated in accordance with the company laws of South Africa

-           approve the allotment, by way of private placement in South Africa, of 140,312 Class B Shares for an aggregate subscription consideration of ZAR 123,411,755 as converted into US$ at the prevailing exchange rate on 31 October 2013 and at a subscription price of US$ 88.1513 per Class B Share (the “Authorised Allotment”) and, conditional always upon the consent of the BSX, the issue of such Class B Shares to invited investors pursuant to the Authorised Allotment.

A copy of the full Notice to Shareholders shall be provided to the Shareholders on Friday, 1 November 2013 and an electronic version of the Notice to Shareholders and all annexures hereto shall be made available on the Company’s website at www.southernviewfinance.com  on Friday, 1 November 2013.”
