Southern View Finance Ltd – Results of Private Placing

Hamilton, Bermuda – 22 November, 2013 – In a filing with the Bermuda Stock Exchange (“BSX”), Southern View Finance Ltd. (the “Company”; Ticker: SVF.BH) advised of the results of the Private Placing. The filing stated:

“RESULTS OF THE PRIVATE PLACEMENT OF COMMON CLASS B SHARES HAVING A PAR VALUE OF USD 0.0001 PER SHARE (“THE CLASS B SHARES”)

Reference is made to the pre-listing statement dated 19 November 2013, and the abridged pre-listing statement (“Pre-Listing Statement”) released on SENS on 19 November 2013, relating to the private placement by SVF to invited investors ("Private Placement"), of up to a maximum of 140,312 Class B Shares at a subscription price of ZAR 879.55 per share, being the ZAR equivalent of USD 88.1513 per Class B Share determined at an exchange rate of USD 1.00 : R 9.9777.

Shareholders are advised that the Private Placement of Class B Shares closed at 17h00 on Wednesday, 20 November 2013 and the directors of SVF are pleased to announce that applications to subscribe for 140 000 Class B Shares (“Listing Shares”) for an aggregate subscription price of ZAR 123,137,000 were received and, subject to the consent of the Bermuda Stock Exchange (“BSX”), the Company will place the Listing Shares for the aggregate subscription price of ZAR 123, 137, 000.

The allocated Class B Shares will be transferred to successful applicants on a `delivery-versus-payment` basis on the date of listing.  In the Pre-Listing Statement, SVF advised that the issue and listing of the Class B Shares was subject to the consent of the BSX and that the anticipated date of listing on the BSX was 25 November 2013 and on the JSE Limited’s Alternative Exchange (“AltX”) was 26 November 2013.  SVF advises that the outcome of the application to the BSX for the consent to issue and list the Class B Shares is pending and that the listing of the Class B Shares will, accordingly, not occur on 25 November 2013 on the BSX and 26 November 2013 on AltX. The anticipated listing date on the BSX is 29 November 2013 and on AltX is 2 December 2013.

Notes:

2.            Successful Invited Investors will receive their SA Private Placement shares in dematerialised form and must advise their CSDP or broker of their acceptance of the Private Placement in the manner and by the cut-off time stipulated by their CSDP or broker in terms of their agreement with their CSDP or broker.

Assuming the consent of the BSX is obtained, the number of Class B Shares in issue prior to and subsequent to, respectively, the Private Placement and listing on the BSX and AltX will be as follows:
