Lancashire Holdings Ltd – Transaction in Own Shares – Allotment of Shares to EBT

Hamilton, Bermuda – 24 December, 2015 – Lancashire Holdings Limited (“Lancashire” or “the Company”; Ticker: LHL BH) today announced that it has today received confirmation of a transaction in Own Shares.  The filing stated:

Lancashire Holdings Limited (the “Company”) announces that it has today received confirmation of the allotment of 1,000,000 common shares from the blocklisting admitted to the official list on 3 April 2009. The allotment of the 1,000,000 common shares was made to the Lancashire Holdings Limited Employee Benefit Trust at the par value price of US$0.50 per share, in order to satisfy future exercises of awards granted to beneficiaries under the rules of the Company’s share plans.

The allotment and issue of shares for the purpose of satisfying the Company’s obligations under the Restricted Share Scheme was authorised at a meeting of the Company’s Board of Directors on 30 April 2014.

Following this issue and allotment, the Company’s issued share capital consists of 201,341,918 common shares of US$0.50 each, of which 1,841,526 common shares are held in treasury. Therefore, the total number of common shares in issue with voting rights (excluding shares held in treasury) is 199,500,392.

The above figure of 199,500,392 may be used by shareholders as the denominator for the calculation of notifications of shareholder interests in the Company required under the Financial Conduct Authority's Disclosure Rules and Transparency Rules.
