Bermuda Press (Holdings) Ltd. announces Dividend and Share Repurchase Programme.
Hamilton, Bermuda – 08 February, 2015 –Bermuda Press (Holdings) Limited (“BPHL”; Ticker: BPH.BH) announced a dividend and Share Repurchase programme. The filing reads:
The Board of Directors of The Bermuda Press (Holdings) Limited ("BPHL") has declared a dividend of $.05 per share for shareholders on record as of March 15, 2016 payable on March 31, 2016.
The BPHL Board suspended the payment of dividends in September 2014 following the acquisition of various companies from MediaHouse Limited in an effort to minimize borrowings. Stephen Thomson, Chairman of BPHL, noted that for the past 6 quarters no dividend was declared and that cash flows from operations had been used in the consolidation of the businesses acquired from MediaHouse. Mr. Thomson added that the Board is pleased that BPHL is once again in a position to declare a dividend to shareholders.
Additionally, the BPHL Board has approved a share repurchase programme that becomes effective on March 1, 2016. The Board has approved the repurchase up to $1,000,000 worth of common shares, (which equates to 153,846 common shares at the current market price of $6.50 or approximately 11% of the outstanding shares). The share repurchase will be conducted in accordance with the relevant Bermuda Stock Exchange regulations. The BPHL Board believes the repurchase is the best strategic way to add value to shareholders, as the shares are currently trading below their book value on the BSX.
Mr. Thomson stated that over the past 18 months the BPHL Board has made the difficult decision to preserve cash for use in operations and we are pleased to announce that the company is in a position to increase shareholders’ value through the dividend and share repurchase programme. Mr. Thomson added that BPHL has fought hard during a difficult economic period in Bermuda, while both staff and management have worked tirelessly to integrate the MediaHouse operations, increase efficiency in our businesses, and preserve the role of the independent media in Bermuda.
