Tyco Completes AFC Cable Acquisition

Hamilton, Bermuda, November 22, 1999 - Tyco International Ltd. (NYSE-TYC, LSE-TYI, BSX-TYC) (Tyco), a diversified manufacturing and service company, announced today that it has completed the acquisition of AFC Cable Systems, Inc. (NASDAQ-AFCX).

AFC Cable, with annual revenues of approximately $275 million, is a leader in the design, manufacturer and supply of prewired armor cable, flexible conduit, modular wiring systems and electrical fittings used in a wide range of electrical, voice and data distribution products.

Pursuant to the merger agreement, as amended, shareholders of AFC Cable receive one share of Tyco for each share of AFC Cable. As a result, a total of approximately 12.8 million shares will be issued by Tyco. At the close of business on November 22, 1999, the price of Tyco was $43 per share.
